Terms of Service

1Agreement to These Terms

These Terms of Service ("Terms") govern your use of the Kortado service, including the Kortado Model Context Protocol ("MCP") server and connector (together, the "Service"), operated by Kortado, Inc. ("Kortado," "we," "us," or "our"). By connecting the Service to an AI assistant, or by searching for, reserving, or purchasing tickets through the Service, you agree to these Terms and to our Privacy Policy at kortado.com/privacy. If you do not agree, do not connect or use the Service.

2What the Service Does

The Service lets AI assistants that support MCP connectors (each an "AI Assistant") act on your instructions to search for live events, retrieve event and venue details, check seat availability and pricing, and purchase tickets from participating venues, presenters, and cultural institutions (each an "Organizer").

Kortado is a technology platform that connects you with Organizers. The Organizer is the seller of the tickets and the merchant of record, and is responsible for the event itself, including its occurrence, content, venue, and admission policies. Kortado is not the merchant of record. If that ever changes for a particular purchase, we will tell you at the time of purchase.

3Using the Service Through an AI Assistant

The AI Assistant is provided by a third party, not by Kortado. Your use of the AI Assistant is governed by that provider’s own terms and privacy policy. We do not control how the AI Assistant interprets your requests, what it says to you, or what information it chooses to send to the Service.

When you connect the Service to an AI Assistant, you authorize that AI Assistant to send requests to the Service on your behalf. You are responsible for all activity performed through your connection, including purchases, as if you had performed it yourself.

Before confirming any purchase, review the event, date, time, venue, seat section, quantity, total price, and email address that the AI Assistant presents to you. AI Assistants can make mistakes. Do not approve a purchase you have not reviewed.

We process a purchase only after receiving a confirmation request through your connected AI Assistant. Kortado acts as the connector that carries out confirmed requests; responsibility for a purchase confirmed through your connection rests with you and, where applicable, the provider of the AI Assistant that confirmed it. You can disconnect the Service at any time through your AI Assistant’s settings. Disconnecting does not cancel purchases already completed.

4Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to purchase tickets through the Service. Some events have their own age restrictions, which are set by the Organizer.

5Ticket Purchases

Pricing and fees

Ticket prices are set by Organizers. Any applicable service fees, taxes, or delivery charges will be shown to you through the AI Assistant before you confirm your purchase. Prices and availability can change until your order is confirmed.

Payment

Payments are handled by third-party payment processors. By submitting payment, you agree to the processor’s applicable terms. We do not store your full payment card number.

Order confirmation

Your order is complete when you receive a confirmation number. We will send confirmation to the email address you provide. Please make sure it is accurate; we are not responsible for delivery failures caused by an incorrect email address.

Refunds, exchanges, cancellations, and postponements

All sales are final unless the Organizer’s policy provides otherwise. If an event is canceled, postponed, or rescheduled, refunds, exchanges, and credits are governed by the Organizer’s policy. Refunds are issued by the Organizer, as merchant of record, to the original payment method.

Ticket limits

Organizers may limit the number of tickets per customer. We may cancel orders that exceed those limits or that we reasonably believe were placed in violation of these Terms.

6Admission and Event Rules

Tickets are licenses to attend an event, subject to the Organizer’s and venue’s rules. Organizers may refuse admission or remove attendees who violate those rules. We are not responsible for the conduct of Organizers, venues, performers, or other attendees.

7Prohibited Conduct

You agree not to, and not to direct any AI Assistant or automated system to:

• purchase tickets for commercial resale where prohibited by law or by the Organizer, or use the Service for ticket scalping
• use bots, scripts, or automated tools other than a supported AI Assistant acting on your genuine instructions, or exceed reasonable request volumes
• circumvent ticket limits, access controls, or security measures
• submit false, fraudulent, or unauthorized payment or identity information
• send the Service malicious content, including instructions designed to manipulate it or other users’ AI Assistants
• scrape, copy, or redistribute event, pricing, or availability data except for your personal use
• reverse engineer, disrupt, or interfere with the Service or its infrastructure; or
• use the Service in violation of any applicable law.

8Third-Party Services

The Service relies on third parties, including AI Assistant providers, Organizers, ticketing system providers, and payment processors. We are not responsible for their products, services, availability, or policies. Your dealings with them are solely between you and them.

9Intellectual Property

The Service, including its software, design, and branding, is owned by Kortado or its licensors. Event names, images, and descriptions belong to Organizers or their licensors. We grant you a limited, revocable, non-transferable license to use the Service for your personal, non-commercial purposes in accordance with these Terms.

10Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, KORTADO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT EVENT INFORMATION IS ALWAYS ACCURATE OR CURRENT, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY AI ASSISTANT WILL CORRECTLY INTERPRET YOUR INSTRUCTIONS.

11Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KORTADO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN FEES FOR THE TRANSACTION GIVING RISE TO THE CLAIM OR (B) USD $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12Indemnification

You agree to indemnify and hold harmless Kortado and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or misuse of the Service.

13Suspension and Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, engaged in fraud, or created risk for us, Organizers, or other users. Sections that by their nature should survive termination will survive.

14Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date and, where appropriate, provide additional notice. Continued use of the Service after changes take effect means you accept the updated Terms.

15Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state or federal courts located in New York, NY, unless applicable law requires otherwise.

16General

If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force. You may not assign or transfer these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. No failure or delay in exercising a right operates as a waiver of it, and no waiver is effective unless in writing. Neither party is liable for any failure or delay caused by events beyond its reasonable control, including acts of nature, labor disputes, utility or network failures, or government action; this does not affect your right to a refund from an Organizer for an event that does not take place. We may provide notices to you through your AI Assistant connection or by email to the address you provide. These Terms, together with our Privacy Policy at kortado.com/privacy, set out the entire agreement between you and Kortado regarding the Service and supersede any prior agreements on the subject.
